Article 1: Scope
These terms apply to all services and products purchased through humaneinthemembranellc.com. Placing an order or booking a paid session constitutes full acceptance of these terms.

Article 2: Eligibility
Our services are intended for individuals 18 years or older, acting for themselves or on behalf of an organization they are authorized to represent.

Article 3: Pricing & Payment
Prices are listed in USD and may change at any time; the price at the time of purchase or booking applies. Payment is due in full at booking and is processed securely through Stripe. HITM does not store your payment card information.

Article 4: Cancellations & Refunds
Sessions: All paid sessions are non-refundable. Each session may be rescheduled one time with at least 24 hours' notice. No-shows and late cancellations forfeit the session with no refund or additional reschedule.
Digital Products: All digital products, courses, and downloadable materials are non-refundable once purchased and/or accessed, due to their digital nature.

Article 5: Intellectual Property
All frameworks, materials, and content provided — including the HEART Framework™ and Humane Blueprint Suite™ — are the exclusive intellectual property of Humane in the Membrane, LLC. Digital products, courses, and downloadable materials are licensed for your individual or organizational use only. They may not be duplicated, replicated, resold, or redistributed, in whole or in part, without a separate written licensing agreement. Unauthorized use constitutes infringement and will be pursued accordingly.

Article 6: Confidentiality
Any proprietary materials or information shared during a session or engagement are provided for your internal use only and remain confidential. Likewise, HITM treats all client information shared during an engagement as confidential and will not disclose it to third parties without your consent, except as required by law.

Article 7: Client Responsibilities
To get the most from our work together, clients agree to provide timely and accurate information, participate actively and in good faith, communicate promptly regarding scheduling conflicts or concerns, and use HITM materials in a manner consistent with applicable laws and their organization's policies.

Article 8: No Guarantee of Results
HITM provides professional coaching, consulting, and educational services designed to support meaningful organizational growth. However, outcomes depend on many factors outside our control. We do not guarantee specific results, financial outcomes, or organizational changes from participation in our services.

Article 9: Limitation of Liability
To the fullest extent permitted by law, Humane in the Membrane, LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of the site or services. HITM's total liability shall not exceed the amount paid for the specific service giving rise to the claim.

Article 10: Disclaimer of Warranties
The site and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

Article 11: Termination
HITM reserves the right to decline, suspend, or terminate any engagement at its discretion, including in cases of non-payment, abusive conduct, or misuse of HITM materials. You may discontinue use of services at any time, subject to the cancellation and refund terms in Article 4.

Article 12: Third-Party Platforms
Our booking, scheduling, and payment processes rely on third-party platforms including Systeme.io and Stripe. Your use of these platforms is subject to their respective terms and privacy policies. HITM is not responsible for outages, errors, or data practices of these third-party platforms.

Article 13: Privacy
Our collection and use of personal information is described in our Privacy Policy, available on this site. By using the site or booking services, you also agree to the terms of our Privacy Policy.

Article 14: Modifications to These Terms
HITM may update these Terms at any time. The Effective Date at the top of this page will reflect the most recent update. Continued use of the site or services after changes are posted constitutes acceptance of the revised Terms.

Article 15: Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Colorado. Any dispute arising from these Terms or our services shall first be addressed through good-faith direct discussion. If unresolved, legal action shall be brought exclusively in the state or federal courts located in Colorado.

Article 16: Entire Agreement
These Terms, together with any signed proposal, statement of work, or agreement specific to your engagement, constitute the entire agreement between you and HITM regarding the services described herein.
